An articles of amendment is to be filed when a Corporation wants to make any changes to its details or information with the Government registries. An articles of amendment is filed with and processed by the registries or Government agencies which issued the certificate of incorporation.
Typical changes made to a corporation by filing articles of amendment are:
  • Change of province or territory where the registered office is located.
  • Add a new class of shares or remove a class of shares.
  • Change the rights, privileges, restrictions and conditions attaching to an existing class or series of shares.
  • Change or delete restrictions on transfer.
  • Add, delete or modify any other provisions included in the articles of incorporation.
Typically, a corporation’s shareholders or directors must approve, by a resolution, any amendments to the articles of incorporation. The resolution then becomes part of and must be retained with corporation records.

A Government issued ID (Drivers' license, PR Card, Other Government ID) is required for all Alberta business registration. It is a Government regulation.

Timeline

Timeline for filing updates and changes are dependent upon the turn around time of the Government Registries. In rare cases, if there is a delay from the Registries to provide us the proof of filing documents within the selected timeline, we will do our best to complete in the shortest possible time.
