To establish a not-for-profit corporation in Canada, the process involves several key stages. Firstly, you must select a suitable name for your corporation and, if opting for a named corporation, consider reserving the chosen name. Following this, you'll need to complete an online form with pertinent information, which will be used to draft the articles of incorporation. These articles outline the corporation's purpose, structure, and operational framework.

Once the articles are prepared, they are submitted to the appropriate entity-Industry Canada for federal incorporation or provincial registries for provincial incorporation. Upon successful processing and approval, you will be issued a Certificate of Incorporation, signifying the official registration of your not-for-profit corporation. This document, along with the articles of incorporation, will be delivered to you via Email.

Name for your business

You can propose a name for your corporation. If the name is available and satisfies the name rules of the province we will proceed to register with that name. A NUANS Search and Name Reservation Report is required. If you don't have One we will include it in the order with No Additional Cost.

A Non-profit in Alberta can be either 1) With Share Capital 2) Without Share Capital. If the non-profit do not have a share capital then it is called 'Non-Profit Company Limited by Guarantee.' For such a corporation each member must guarantee to help pay the company’s debts and liabilities before it winds up.

Agent for service: is a contact person for the corporation who resides in Alberta. Usually a director can be an agent of service.

A Government issued ID (Drivers' license, PR Card, Other Government ID) is required for all Alberta business registration. It is a Government regulation.

The Board is made up Directors, Officers. & also incorporators. All directors are same with equal status and power. We call them Director 1. Director 2,etc for convenience of filing. Otherwise they all have same role in a corporation. You can add up to 10 directors. All directors are also the incorporators.
